Terms of Service

1. Agreement to these Terms

These Terms of Service (the “Terms”) govern your access to and use of the cloutline website at cloutline.live and any related programs, education, and support we provide (together, the “Services”). By visiting the site, applying to the network, or otherwise using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

2. Who we are

cloutline is a brand operated by Brand Consulting Inc., a Delawarecorporation (“cloutline,” “we,” “us,” or “our”). We are an independent creator network for new and small United States TikTok LIVE creators. We provide education on how gifting works, guidance and check-ins to help you go live consistently, and advocacy support if your account runs into trouble. We are a private business and act on our own behalf.

3. We are not affiliated with TikTok

cloutline is not TikTok. We are not affiliated with, endorsed by, sponsored by, or an official partner of TikTok, ByteDance Ltd., or any of their affiliates. TikTok, the TikTok logo, and related names are trademarks of their respective owners and are used only to describe the platform on which you create. Your use of TikTok is governed by TikTok's own terms and policies, not by these Terms.

4. Eligibility

To use the Services and to apply to the network, you must:

• be at least 18 years old;
• be located in the United States;
• have a TikTok account that is in good standing and eligible for TikTok LIVE and its gifting features; and
• be able to form a binding agreement and not be barred from using the Services under applicable law.

TikTok LIVE and gifting are available only to creators who are 18 or older. The Services are not directed to anyone under 18, and we do not knowingly work with creators who are under 18.

5. What we provide — and what we do not

Through the Services, cloutline may provide:

• educational material and a playbook explaining how TikTok LIVE gifting works;
• coaching, check-ins, and general strategy support; and
• advocacy and escalation on your behalf through official channels if your account is restricted or banned.

The Services do not include, and cloutline does not provide:

• any guarantee of income, gifts, diamonds, followers, or results;
• any guarantee that a restricted or banned account will be reinstated;
• employment — no wage, salary, or benefits are offered by cloutline;
• legal, tax, financial, or accounting advice; or
• any product or service offered by TikTok itself.

6. Your TikTok account and platform rules

You remain solely responsible for your TikTok account and for following TikTok's rules at all times. This includes TikTok's Terms of Service, Community Guidelines, LIVE rules, Virtual Items Policy, and any monetization or creator-program terms that apply to you. You agree that, while using the Services, you will:

• keep your content and conduct compliant with TikTok's Community Guidelines and applicable law;
• not engage in fraudulent, artificial, or manipulated gifting, including self-gifting, botting, or buying fake engagement or diamonds;
• not misrepresent your identity, age, location, or account metrics; and
• not use the Services to violate any TikTok policy or any law.

Nothing cloutline provides overrides TikTok's policies. If our guidance ever appears to conflict with TikTok's rules, TikTok's rules control.

7. Gifts, diamonds, and payments

Gifts and diamonds are features of the TikTok platform. TikTok, not cloutline, controls how gifts and diamonds work, how they convert to value, and whether and how any payout is made. You keep 100% of the gifts you earn — cloutline does not take a cut of your gifts and does not process, hold, or pay out any gift or diamond value. Any amounts you receive come to you through TikTok under TikTok's own terms.

You are solely responsible for any taxes, filings, and reporting on income you earn. We recommend you consult your own tax advisor.

8. No income guarantee

Earnings vary and are not guaranteed. Any figures shown are examples, not typical or promised results. Any earnings figures we mention, including any example based on a specific creator, are illustrations only and are not typical, promised, or guaranteed. Your results depend on many factors outside our control, including your own effort and the TikTok platform.

9. Account and ban-appeal support

If your account is restricted or banned, cloutline may advocate and escalate on your behalf through official channels. This support is a good-faith effort only. It is not a guarantee of reinstatement, and outcomes are decided solely by TikTok. We cannot promise any particular result and are not responsible for TikTok's decisions.

10. Your responsibilities

When you use the Services, you agree to:

• provide accurate and complete information when you apply or communicate with us;
• use the Services only for lawful purposes and in line with these Terms;
• not copy, resell, or redistribute our educational material without permission; and
• not interfere with, disrupt, or attempt to gain unauthorized access to the Services.

11. Independent relationship

You and cloutline are independent parties. Nothing in these Terms creates an employment, partnership, joint-venture, or franchise relationship, and neither party may bind the other. cloutline does not own or control your account, your content, or your creative decisions.

12. Intellectual property

The Services, including the cloutline name, site, playbook, and other materials we create, are owned by cloutline and protected by intellectual property laws. We grant you a limited, personal, non-transferable license to use our materials for your own participation in the network. All other rights are reserved.

13. Third-party services and links

The Services rely on and may link to third-party platforms and tools, including TikTok. We do not control those third parties and are not responsible for their content, policies, or actions. Your use of any third-party service is governed by that party's own terms.

14. Disclaimers

The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or will achieve any particular outcome.

15. Limitation of liability

To the fullest extent permitted by law, cloutline and its owners and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, gifts, diamonds, followers, or data, arising out of or relating to the Services. Our total liability for any claim relating to the Services will not exceed one hundred U.S. dollars (US$100).

16. Indemnification

You agree to indemnify and hold harmless cloutline and its owners and personnel from any claims, losses, and expenses arising out of your use of the Services, your content, or your violation of these Terms, TikTok's policies, or any law.

17. Termination

You may stop using the Services at any time. We may suspend or end your access to the Services at any time, including if you violate these Terms or TikTok's policies. Sections that by their nature should survive termination will continue to apply.

18. Changes to these Terms

We may update these Terms from time to time. When we do, we will change the “Last updated” date above. Your continued use of the Services after an update means you accept the revised Terms.

19. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The state and federal courts located in New Castle County, Delaware will have exclusive jurisdiction over any dispute not otherwise resolved, to the extent permitted by law.
